As a service provider we are responsible according to § 7 Abs.1 TMG (German law) for our own contents on these pages according to general law. According to §§ 8 to 10 TMG, however, we as a service provider are not obliged to monitor transmitted or stored external information or to investigate circumstances that indicate illegal activity. General Terms & Conditions of Sale

GENERAL

All quotations are subject to Kleindiek Inc.’s “General Terms and Conditions”.

QUOTATIONS AND ACCEPTANCE OF ORDER

All prices are quoted in United States Dollars ($). Unless stated otherwise, prices are net prices and do not include sales, excise, and value added tax. The validity of a quotation is stated on each quote and is typically 60 days. Acceptance of a quotation by the buyer is confirmed by a written purchase order. Kleindiek Inc. shall in no case be bound by amendments to the quotation made unilaterally by the buyer. All orders are considered definitive only after written confirmation by Kleindiek Inc.

PRICES AND TERMS OF PAYMENT

Invoices are due within 30 days from the invoice date (Net 30). All goods under a contract will remain the property of the seller until the payment is transferred to the seller’s account. Payments may be made by wire transfer or some other pre-arranged payment method.

A copy of sales tax exemption certificate is required upon purchase order award if applicable. Failure to provide a tax exempt certificate can result in sales tax being added to the final invoice.

DELIVERY

Terms of trade are Incoterms® DDP. The typical delivery time of products is 8–12 weeks after receipt of order. Any delivery date quoted will be subject to confirmation at the time of issuing the order confirmation.

INSTALLATION AND ACCEPTANCE OF PRODUCTS

Each product contains a description for unpacking, installation, and an operating manual. A functional acceptance test is described which is performed by the customer. In case of malfunctioning, the product can be returned free of charge to Kleindiek Inc. and will be repaired or replaced. Where included in purchase order, installation and acceptance testing is performed on-site by Kleindiek Inc.

WARRANTY

The warranty period for all products is one year after delivery to the customer site. Products, which fail during the warranty period due to product shortcomings (caused by faulty materials, components, or workmanship) can be returned to Kleindiek Inc. for repair or replacement at no cost to the customer.

SERVICE

Products sold by Kleindiek Inc. are designed and manufactured with the highest quality standards and provide excellent lifetime and performance. Due to their highly integrated design and miniaturization the products cannot be serviced by the user. Instead, defective products must be returned to Kleindiek Inc. for replacement or repair in Germany. Typical turn around time is five working days (excluding shipping). Please contact Kleindiek Inc. for packaging instructions and shipping arrangements. Diagnostics investigation of a failed product is done free of charge.

Service repair pricing will be based on material and time used for the repair. A quotation can be provided before repair is initiated.

USAGE

It is the responsibility of the user/owner to comply with all applicable national and international laws and regulations, in particular the applicable export control regulations and sanction programs. The user also agrees not to export, re-export, or transfer any software or technology developed with or using information, software, or technology offered by Kleindiek Nanotechnik in violation of any applicable laws or regulations of the competent authorities. Kleindiek Inc. reserves the right to refuse orders due to ethical considerations.

FINAL PROVISIONS

The courts of Arlington County shall have jurisdiction over all disputes. The laws of Virginia shall apply. The invalidity of any provision of these general terms and conditions of sale shall not affect the validity of the other provisions. Invalid provisions shall be deemed to be replaced by such valid provisions that shall be suitable to implement the economic purpose of the deleted provision to the greatest extent possible.
